These Terms of Service (“Terms”) govern your use of Linux Identity (the “Service”), provided by Linux Identity (“Linux Identity”, “we”, “us”, or “our”). By creating an account or using the Service you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Account Creation
- You must provide accurate, current, and complete information when creating an account, and keep that information up to date.
- You are responsible for safeguarding your credentials and for all activity that occurs under your account.
- You must promptly notify us of any unauthorized access to or use of your account.
- You must be at least 18 years old to use the Service.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where expressly permitted by applicable law.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its underlying infrastructure.
- Use the Service to transmit malware, conduct denial-of-service attacks, or scrape data in violation of our published limits.
- Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent.
4. Intellectual Property
The Service, including all software, designs, text, graphics, and other content, is owned by Linux Identity or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of content and data you submit to the Service (“Customer Data”) and grant us a worldwide, non-exclusive license to use Customer Data solely as necessary to operate and improve the Service.
5. Fees and Billing
- Paid plans are billed in advance on a recurring basis at the interval indicated at sign-up (monthly or annual).
- Fees are non-refundable except as expressly stated or required by applicable law.
- We may change pricing on at least 30 days' notice; changes take effect on your next billing cycle.
- You authorize us and our payment processor to charge your payment method for all fees owed. Failed payments may result in suspension of the Service.
- Taxes (sales, VAT, GST, etc.) are your responsibility unless we are required by law to collect them.
6. Termination
You may cancel your account at any time from the account settings page or by contacting mail@linuxidentity.com. We may suspend or terminate your access to the Service if you breach these Terms, fail to pay fees, or use the Service in a way that creates risk for us or other users. On termination, your right to use the Service ends immediately; we will provide a reasonable window to export Customer Data on request.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LINUX IDENTITY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
9. Indemnification
You agree to defend, indemnify, and hold harmless Linux Identity and its officers, employees, and affiliates from and against any claims, damages, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms, (b) your Customer Data, or (c) your violation of any third-party rights.
10. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and the parties consent to the personal jurisdiction of those courts.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in the Service. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
